TERMS OF SERVICE

SUBERIDE — Private Chauffeur Services

These Terms of Service (“Terms”) govern your access to and use of SUBERIDE, including its website, booking system, communications, and transportation services.

By accessing, booking, or using SUBERIDE, you agree to be bound by these Terms.

1. Company Information

SUBERIDE is a trade name and operating brand of:

GKR & B Wholesale & Retail Inc.

Ontario, Canada

SUBERIDE operates a private chauffeur transportation business serving Toronto and the Greater Toronto Area.

2. Nature of Service

SUBERIDE provides pre-booked chauffeur transportation services, including:

•airport transportation

•executive and business travel

•hourly chauffeur service

•private transportation

•select special-occasion transportation where available

Transportation services are fulfilled directly through SUBERIDE’s current operating structure and service availability.

SUBERIDE does not operate as a rideshare service.

3. User Types Covered

These Terms apply to all users of SUBERIDE, including:

•passengers

•account holders

•corporate clients

Additional written agreements may apply to certain corporate or account-based arrangements where applicable.

4. Booking and Service Process

Users may request bookings through the SUBERIDE website, booking system, or another approved booking channel.

Upon booking:

•trip details are submitted

•a valid payment method may be required

•the requested trip is reviewed based on actual service availability, timing, route practicality, and service suitability

•a booking is confirmed once accepted by SUBERIDE

SUBERIDE does not guarantee acceptance of all booking requests.

5. Vehicle and Service Configuration

SUBERIDE currently provides service through its operating vehicle.

The current service is configured for:

•up to 3 passengers

•up to 4 large suitcases

Passenger and luggage capacity may vary if SUBERIDE expressly confirms a different arrangement in advance.

SUBERIDE’s service is sold based on the quality of the transportation service provided, not on a promise of fleet class, luxury vehicle class, or multi-vehicle availability.

6. Pricing and Fare Structure

All pricing is:

•displayed prior to booking where applicable

•based on time, distance, route, flat-rate zones, or hourly service structure

•subject to adjustment if trip details change

Where airport flat-rate pricing is offered, flat rates apply only when both pickup and drop-off locations fall within the designated flat-rate zones. If either location falls outside the applicable zone, point-to-point pricing applies instead.

Final fare may include, where applicable:

•additional stops

•extended waiting time

•parking fees

•tolls, including Highway 407

•route changes requested during the trip

•other trip-related adjustments

Applicable airport-access costs may be built into airport flat-rate pricing where applicable and are not normally charged separately unless expressly disclosed at the time of booking.

SUBERIDE does not use surge pricing or dynamic pricing.

7. Wait Time

Standard pickups include 15 minutes of complimentary wait time unless otherwise stated at booking.

Airport pickups include 45 minutes of complimentary wait time after flight arrival unless otherwise stated at booking.

Additional waiting time may be charged after the complimentary period based on the applicable pricing structure.

8. Payments

Payments are processed through third-party providers such as Stripe or other approved payment processors.

By using SUBERIDE, you authorize SUBERIDE to:

•verify your payment method

•charge your selected payment method

•process applicable trip charges and fees

•apply authorized trip-related adjustments where permitted under these Terms

SUBERIDE does not store full credit card information on its own servers.

Unless SUBERIDE expressly approves another payment arrangement outside the standard public booking flow, online bookings require card-based payment authorization at the time of booking.

9. Cancellations and No-Shows

Cancellation terms may vary by booking type and are presented at the time of booking and in SUBERIDE’s applicable policy pages.

General cancellation guidelines may include:

•Point-to-Point Trips: cancellations made before confirmed dispatch or service preparation may be without charge; cancellations made after that stage may incur a fee

•Hourly Chauffeur Service: cancellations made more than 24 hours before pickup may be without charge; cancellations made within 24 hours may incur a fee

•Airport Transfers: cancellations made within 2 hours of pickup may incur a fee

A booking may be treated as a no-show if:

•the passenger does not appear at the pickup location

•the passenger cannot be reached

•the included waiting period has expired

•materially incorrect pickup information was provided

No-shows may result in a charge of up to the base trip fare.

10. Service Delays and External Factors

SUBERIDE is not responsible for delays caused by circumstances outside its reasonable control, including:

•traffic

•weather

•road conditions

•accidents

•road closures

•airport delays

Estimated arrival and travel times are not guaranteed.

11. Vehicle Availability and Service Fulfillment

SUBERIDE service depends on actual service availability.

If SUBERIDE becomes unable to fulfill a confirmed booking, SUBERIDE may attempt to reschedule the trip, offer an alternative arrangement, or provide notice of non-fulfillment where appropriate.

Service availability may also be affected by safety, legal, licensing, insurance, or operational requirements where applicable.

Replacement service is not guaranteed.

12. Accidents and Incidents

In the event of an accident or incident during a trip, applicable insurance coverage, legal responsibility, and claims handling will be governed by the relevant insurance arrangements and applicable law.

To the fullest extent permitted by law, SUBERIDE’s liability is limited in accordance with these Terms, applicable policies, and governing law.

13. Passenger Responsibilities

Passengers must:

•provide accurate booking information

•behave respectfully during the trip

•comply with all applicable laws

•comply with safety requirements during the trip

•ensure that no prohibited, unsafe, or unlawful conduct occurs in the vehicle

Passengers may be responsible for damage, cleaning costs, repair costs, or other charges arising from passenger-caused issues during a trip.

14. Safety and Conduct

Passengers must:

•wear seatbelts where required

•follow lawful instructions during the trip

•avoid unsafe, abusive, or illegal behavior

•avoid smoking, vaping, or prohibited substance use inside the vehicle

SUBERIDE may refuse or terminate service for safety reasons, policy violations, or suspected illegal activity. Charges may still apply where permitted by policy.

15. Additional Charges

Additional charges may apply for:

•wait time beyond the complimentary period

•additional stops

•tolls

•parking fees

•route changes

•passenger-requested trip changes

•cleaning or damage-related charges where applicable

These amounts may be added to the final fare.

16. Payment Disputes

Users agree:

•not to initiate unjustified chargebacks

•to contact SUBERIDE first to attempt resolution of billing concerns

Fraudulent or bad-faith payment disputes may result in account suspension or termination.

17. Refund Policy

Refunds are not automatic and are reviewed case by case.

Refunds may be denied in situations including:

•no-shows

•late cancellations

•passenger-caused issues

•policy violations

•charges properly applied under these Terms or related policies

18. Corporate Accounts

Corporate clients may be subject to:

•invoicing arrangements

•custom pricing

•separate account terms

•approved credit or billing procedures

Unless otherwise agreed in writing, corporate accounts remain subject to these Terms.

19. Website and Booking Status

SUBERIDE may maintain a temporary or informational website presence while booking functionality, service features, or launch infrastructure are being completed or updated.

SUBERIDE does not guarantee uninterrupted platform or website availability.

20. SMS and Voice Communications

By providing your phone number and using SUBERIDE, you consent to receive service-related communications by SMS and phone call where applicable.

These communications may include:

•booking confirmations

•booking request updates

•trip updates

•arrival notifications

•live tracking links where available

•service-related notices

•customer support communications

•account verification or one-time passcode messages where applicable

•receipts and trip-related follow-up messages where applicable

Such communications may be sent using communication providers or platforms used by SUBERIDE for service operations.

Message and data rates may apply depending on your carrier.

Consent to receive service-related communications is used to support booking, trip coordination, customer support, and account-related service functions. Where applicable, you may opt out of non-essential SMS communications by following the instructions in the message, including replying STOP where supported.

For assistance, you may reply HELP where supported or contact SUBERIDE directly using the contact information below.

SUBERIDE does not use customer SMS consent, mobile number information, or opt-in data for sale or sharing with third parties or affiliates for marketing or promotional purposes.

21. Intellectual Property

All SUBERIDE branding, logos, website content, text, graphics, and materials are owned by or licensed to SUBERIDE.

Unauthorized use, reproduction, copying, or distribution is prohibited.

22. Account Suspension or Termination

SUBERIDE may suspend, restrict, or terminate access to its booking systems or services for reasons including:

•misuse of the platform

•fraud or attempted fraud

•abusive conduct

•chargeback abuse

•policy violations

•unlawful activity

•submission of false information

23. Privacy

Use of SUBERIDE is also governed by the SUBERIDE Privacy Policy.

24. Changes to Terms

SUBERIDE may update these Terms from time to time.

Updated Terms become effective when posted or otherwise communicated. Continued use of SUBERIDE after updates constitutes acceptance of the revised Terms.

25. Governing Law

These Terms are governed by the laws of the Province of Ontario, Canada.
